Terms and Conditions

Welcome to Hiray Softech. These terms and conditions outline the rules and regulations for the use of our services.

By accessing or using our services, you agree to comply with and be bound by these terms and conditions. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

1. Services Provided

We offer digital marketing, development, and designing services, which include but are not limited to:
– Website and software development
– Mobile App Development
– Graphic and web design
– Search Engine Optimization (SEO)
– Social media marketing
– Pay-per-click (PPC) advertising
– Content marketing
– Branding and other related services.

1.1 Client Support Limitation

Technical support or any service-related assistance will not be provided at the client’s location. All discussions, meetings, and support will be conducted either through online meetings or at our company premises. This includes troubleshooting, consultation, and any other form of service-related assistance.

2. Quotations and Payments

2.1 Quotation Validity

All quotations are valid for 30 days unless otherwise stated. Any changes or additional requests may incur additional costs.

2.2 Payments
– A 50% upfront payment is required for project initiation unless agreed upon otherwise.
— For ongoing services (e.g., monthly retainers for SEO, social media, etc.), payment is pre-subscribe module.

2.3 Late Payments
– Late payments will incur an interest charge of 10% per month after 10 business days from the due date.
– We reserve the right to suspend work or withhold project deliverables if payments are not received.

3. Client Responsibilities

– The client must provide all necessary materials (scope of work, content, logos, etc.) required for the project in a timely manner.
– The client is responsible for ensuring the accuracy and legality of the materials provided.

4. Revisions and Approval

– Two rounds of revisions are included in the original project scope.
– Any additional revisions will be billed as per the scope.
– Once final approval is given by the client, any further changes will be considered additional work and charged accordingly.

5. Timelines

– We will provide an estimated timeline for project completion. However, delays in providing feedback, approval, or materials from the client may affect delivery timelines.
– We are not responsible for delays caused by factors beyond our control (e.g., third-party software failures or the 3rd party services).

6. Intellectual Property

– All designs, code, and content developed by Hiray Softech remain the property of Hiray Softech until full payment is received.
– Upon full payment, intellectual property rights for custom work will be transferred to the client, except for any pre-existing tools, libraries, or third-party materials and company server.

7. Termination

7.1 Termination by Client
The client may terminate the agreement by providing written notice 30 days in advance. Any outstanding payments for services rendered must be cleared.

7.2 Termination by Hiray Softech
We reserve the right to terminate the agreement if the client fails to make payments or breaches any of the terms on the signed contract.

8. Confidentiality

Both parties agree to keep confidential all proprietary information, including business plans, financial information, and strategies, unless required by law.

9. Governing Law

These terms and conditions are governed by the laws of Maharastra India. Any disputes arising from this agreement will be resolved in the courts of Ahmednagar, Maharashtra.

10. Amendments

We reserve the right to amend these terms and conditions at any time. Changes will be notified to clients in writing or via email.
